Confidential Disclosure Agreement
A Confidential Disclosure Agreement (CDA) is a legal agreement between two or more parties which provides terms under which information shall be shared. A CDA is commonly executed when parties are contemplating a relationship and require information for further evaluation that they wish to prevent broader dissemination of. CDA’s are important to prevent premature public disclosure of information; which can limit or even preclude patent rights. CDA’s also allow researchers to confidentially exchange unpublished information with collaborators and commercialization partners. A CDA is vital to preserve academic publication and intellectual property rights.
